Vodafone Essar Limited and its Subsidiaries (Vodafone) provide the Services regarding the facility to receive the World Cup Match Coverage from 19th February, 2011, the opening Match to the Final Match to be played on 2nd April, 2011, in the Form of Live Re-Transmission using Mobile Technology for reception on Mobile Devices exclusively for Vodafone Subscriber(s)s, in their respective handsets.
These terms & conditions are posted for public on Vodafones home page www.vodafone.in. Please read carefully before availing services of live re-tranmission of the matches by Vodafone for its individual Subscriber(s) only for the respective Handset and phone number through which the Subscriber(s) has availed this Services.
Subscribing the Services of Live Re-Transmission in the handsets of the individual Subscriber(s) (hereinafter Services) would tantamount to acceptance of the Terms and Conditions stated herein. Subscriber(s) agree to be legally bound by these terms & conditions which is a part & parcel of the Services for the limited period of the World Cup 2011 Matches from 19th February, 2011 to 2nd April, 2011.
The Service of the Live Re-Transmission of the Matches using Mobile Technology intended for reception on Mobile Devices shall be made available during the Period of the World Cup 2011 Matches from 19th February, 2011 to 2nd April, 2011 to those Subscriber(s)s who intend to avail the Services upon fulfillment of necessary documentation (if any) and requirements regarding the Payments.
The Service shall be made available to those Subscriber(s)s having compatible handset with select 3G Technology and select 2G Technology with GPRS as per details below.

The Services provided are optional subscription and the Subscriber shall continue to have normal Mobile Services without this Service. The Subscriber having the requisite Handset compatible may in their own violation apply for availing this Services.

The Subscriber who are willing to avail these Services shall approach Vodafone as per the norms prescribed with requisite details. Vodafone may subject to verification check, receipt of requisite payments and compliance of TRAI Regulation provide the Services of Live Re-Transmission of the Matches to the designated phone number of the concerned Vodafone Subscriber who has applied for such Services.
5. Subscriber(s)s represent, warrant and undertake that Subscriber(s) shall avail the Services & subscribe to receiving the Live Re-Transmission exclusively for Subscriber(s) self viewing in Subscriber(s) own personal Handset. Please note that this Re-Transmission Facility Services is provided to the Subscriber(s) who has availed the Service and sharing of such live Transmission directly or indirectly through Devices or otherwise is a punishable offence and shall be strictly dealt as per the applicable provisions of Law. 6. Subscriber(s)s represent, warrant and undertake that neither Subscriber(s)s nor other persons, agent, individual or juristic, acting on Subscriber(s) behalf and under Subscriber(s) instructions, shall further re-transmit, copy, store or otherwise reproduce the Live Re-Transmission either in full or in part, from Subscriber(s) personal Handset nor use any other gadget capable of copying, storing or otherwise reproducing such Live Re-Transmission either for self consumption, viewing or using for commercial or non-commercial gain, illegally and unauthorisedly so as to infringe the Intellectual Property Rights embedded in such Live Retransmissions and each and every individual image thereof forming parts of such live Re-Transmission. In the event, it is found that any of the Subscriber(s) is indulging in such unauthorised and illegal usage or such live re-transmission of the matches given to such Subscriber(s) exclusively for his / her handset, the same shall clearly be an act of Piracy and in violation of Copyright and the Permitted viewing of the Live Re-Transmission Services and shall accordingly be dealt with as per Law. 7. Subscriber(s)s represent, warrant and undertake that Subscriber(s)s shall ensure that the Services of Live Re-Transmission which Subscriber(s)s are availing under these Terms and conditions within the Circle within which such Subscriber(s) is located and in no manner such live retransmission of matches shall be passed on to any other Subscriber(s) of Vodafone or any other Mobile Operator either through the Subscriber(s) Handset or otherwise within the same circle or outside the Circle. 8. Subscription of the Services of Live Matches shall authorize Vodafone to keep particulars of Subscriber(s) access and non-access with the time usage and further use of the live re-transmission by

the Subscriber(s) and strict monitoring thereof including use of such data for audit purposes subject to the provisions of the TRAI Regulations. That the rate of subscription of the Live Re-transmission of the matches shall be as provided on www.vodafone.in. 9. Vodafone is providing the Services of Live Re-Transmission under a Lawful Agreement entered into between Vodafone & ESPN Software India Pvt Ltd, who is the Broadcasting Right Holder for the World Cup Matches from the Organisers. The Service is provided to the Vodafone Subscriber(s) is subject to the Contractual Terms of such Agreement. 10. Vodafone is not responsible for any interruption of the Re-Transmission Services caused for technical snag or otherwise including that of non-happening of any Matches, changes of Schedule, or any other circumstances beyond the control of Vodafone like Force Majuere. 11. Force Majeure shall mean and include any earthquake, volcanic eruption, act of God, war, sabotage, strike(s), bandh(s), acts of terrorism, invasion, revolution, event of military or usurped power, civil war, riot, civil commotion or disorder, acts of Government, sanctions imposed by the Authority, orders issued by court, tribunal, forum, law enforcement agency, satellite power failure and any kind other satellite outage(s), natural calamity or any other event mutually agreed by Vodafone India and ESPN India as being beyond the reasonable control of the defaulting Party. 12. The Subscriber(s) undertakes and warrants that he / she shall not infringe the Intellectual Property Rights of the Organisers, ESPN, Vodafone and or their respective Agents and shall not indulge in any anti-piracy activities. 13. That any anti-piracy activity is considered to be a grave violation of the Terms and Condition of the Subscription of the Services of Live Re-Transmission of Matches, apart from being the violation of IPR Laws and Indian Penal Code (IPC). 14. The Subscriber(s) indulging in such activity shall be subjected to the payment of damages, criminal / Police Action apart from discontinuation / suspension of Services of the respective Subscriber(s). Vodafone reserves its right in such cases to discontinue/suspend with the Services to Subscriber(s) mobile device, for any reason, and without giving Subscriber(s) notice. 15. These terms and conditions may change from time to time. If such changes are made, they will be effective immediately, and we will notify Subscriber(s) by a notice posted on our Services home page of the changes that have been made. If Subscriber(s) disagree with the changes that have been made, Subscriber(s) should not use our Service.

16. Vodafone may discontinue / suspend temporary or otherwise / terminate the arrangement and / or modify the terms and conditions of use for any reason and at any time without notice to Subscriber(s).
17. Vodafone & its Partners disclaims any and all representations and warranties, either express or implied with respect to the technology, services, content and live re-transmission of the matches provided including, but not limited to, warranties of merchantability, fitness for a particular purpose, and any implied warranties arising from course of dealing or course of performance, and any warranty of continuous, uninterrupted or error-free operations/ services.
18. Neither Vodafone, its Directors, employees, affiliates & Partners nor its Partners or any party involved in the creation, production or delivery of the Live Re-Transmission of the Matches on Subscriber(s)s Mobile Devices , will be liable to Subscriber(s)s for direct, indirect, special, incidental, punitive, exemplary or consequential damages arising out of the use of or inability to watch the Event on Subscriber(s)s Mobile Devices or value added services from Vodafone, whether based upon contract, negligence, strict liability or otherwise, even if advised of the possibility of such damages.
19. Subscriber(s)s sole and exclusive remedy relating to Subscriber(s)s use of the Service shall be to discontinue using the Services and discontinue the Subscription.
20. Subscriber(s) understand and agree that Subscriber(s)s will indemnify, defend and hold Vodafone and its employees, agents, affiliates & Business Partners, harmless from any liability, loss, claim and expense, including reasonable attorneys fees, arising from Subscriber(s)s use of our Service or Subscriber(s)s violation of these terms and conditions.
21. If any part of these terms and conditions of use are determined by a court of competent jurisdiction to be invalid or unenforceable, that part shall be limited or eliminated to the minimum extent necessary so that the remainder of these terms and conditions are fully enforceable and legally binding.

22. Subscriber(s)s agree that the laws of India including regulations of TRAI and Department of Telecom, govern these terms and conditions of use of Services and Courts in Mumbai shall have exclusive jurisdiction.

Subscription of the Services of Live Matches shall authorize Vodafone to keep particulars of Subscriber(s) access and non-access with the time usage and further usefurther use of the live retransmission by the Subscriber(s) and strict monitoring thereof including use of such data for audit purposes subject to the provisions of the TRAI Regulations. That the rate of subscription of the Live Re-transmission of the matches shall be as provided on www.vodafone.in. 9. Vodafone is providing the Services of Live Re-Transmission under a Lawful Agreement entered into between Vodafone & ESPN Software India Pvt Ltd, who is the Broadcasting Right Holder for the World Cup Matches from the Organisers. The Service is provided to the Vodafone Subscriber(s) is subject to the Contractual Terms of such Agreement. 10. Vodafone is not responsible for any interruption of the Re-Transmission Services caused for technical snag or otherwise including that of non-happening of any Matches, changes of Schedule, or any other circumstances beyond the control of Vodafone like Force Majuere. 11. Force Majeure shall mean and include any earthquake, volcanic eruption, act of God, war, sabotage, strike(s), bandh(s), acts of terrorism, invasion, revolution, event of military or usurped power, civil war, riot, civil commotion or disorder, acts of Government, sanctions imposed by the Authority, orders issued by court, tribunal, forum, law enforcement agency, satellite power failure and any kind other
satellite outage(s), natural calamity or any other event mutually agreed by Vodafone India and ESPN India as being beyond the reasonable control of the defaulting Party. 12. The Subscriber(s) undertakes and warrants that he / she shall not infringe the Intellectual Property Rights of the Organisers, ESPN, Vodafone and or their respective Agents and shall not indulge in any anti-piracy activities. 13. That any anti-piracy activity is considered to be a grave violation of the Terms and Condition of the Subscription of the Services of Live Re-Transmission of Matches, apart from being the violation of IPR Laws and Indian Penal Code (IPC). 14. The Subscriber(s) indulging in such activity shall be subjected to the payment of damages, criminal / Police Action apart from discontinuation / suspension of Services of the respective Subscriber(s). Vodafone reserves its right in such cases to discontinue/suspend with the Services to Subscriber(s) mobile device, for any reason, and without giving Subscriber(s) notice. 15. These terms and conditions may change from time to time. If such changes are made, they will be effective immediately, and we will notify Subscriber(s) by a notice posted on our Services home page of the changes that have been made. If Subscriber(s) disagree with the changes that have been made, Subscriber(s) should not use our Service.

16. Vodafone may discontinue / suspend temporary or otherwise / terminate the arrangement and / or modify the terms and conditions of use for any reason and at any time without notice to Subscriber(s).
17. Vodafone & its Partners disclaims any and all representations and warranties, either express or implied with respect to the technology, services, content and live re-transmission of the matches provided including, but not limited to, warranties of merchantability, fitness for a particular purpose, and any implied warranties arising from course of dealing or course of performance, and any warranty of continuous, uninterrupted or error-free operations/ services.
18. Neither Vodafone, its Directors, employees, affiliates & Partners nor its Partners or any party involved in the creation, production or delivery of the Live Re-Transmission of the Matches on Subscriber(s)s Mobile Devices , will be liable to Subscriber(s)s for direct, indirect, special, incidental, punitive, exemplary or consequential damages arising out of the use of or inability to watch the Event on Subscriber(s)s Mobile Devices or value added services from Vodafone, whether based upon contract, negligence, strict liability or otherwise, even if advised of the possibility of such damages.
19. Subscriber(s)s sole and exclusive remedy relating to Subscriber(s)s use of the Service shall be to discontinue using the Services and discontinue the Subscription.
20. Subscriber(s) understand and agree that Subscriber(s)s will indemnify, defend and hold Vodafone and its employees, agents, affiliates & Business Partners, harmless from any liability, loss, claim and expense, including reasonable attorneys fees, arising from Subscriber(s)s use of our Service or Subscriber(s)s violation of these terms and conditions.
21. If any part of these terms and conditions of use are determined by a court of competent jurisdiction to be invalid or unenforceable, that part shall be limited or eliminated to the minimum extent necessary so that the remainder of these terms and conditions are fully enforceable and legally binding.
22. Subscriber(s)s agree that the laws of India including regulations of TRAI and Department of Telecom, govern these terms and conditions of use of Services and Courts in Mumbai shall have exclusive jurisdiction.
