Hong Kong Applied Science and Technology Research Institute Company Limited (ASTRI) End User License Agreement PLEASE READ THIS END USER LICENSE AGREEMENT (THIS AGREEMENT) CAREFULLY BEFORE YOU USE ANY PRODUCT (PRODUCT) ON OUR SITE TO WHICH THIS AGREEMENT IS ATTACHED. BY DOWNLOADING, INSTALLING, COPYING OR OTHERWISE USING THE PRODUCT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, COPY OR OTHERWISE USE THE PRODUCT AND RETURN IT TO ASTRI FOR REFUND OF THE PAYMENT YOU HAVE MADE TO IT FOR THE PRODUCT (IF APPLICABLE).
1. Licensed Right: ASTRI grants you a non-exclusive, non-transferable and limited license (with no right to sublicense) to use the Product for internal use (if you are a single entity) or for personal use (if you are an individual) and not for any other purposes whatsoever. 2. Ownership: The Product is licensed, and not sold to you. Ownership and title to all proprietary rights in and to the Product, including without limitation all intellectual property rights, remain with ASTRI. The Product is protected by copyright worldwide and may not be copied, reproduced, issued, rented, made available, sold or transferred, in whole or in part, to any third party or otherwise dealt with without the authorization of ASTRI. You may not remove any ASTRI proprietary notices from the Product and must keep the Product free of liens, attachments and other encumbrances. You shall not make copies of, reproduce, translate, adapt, vary, modify, disassemble, decompile or reverse engineer the Product. Except otherwise expressly provided herein, ASTRI grants no express or implied right under ASTRI patents, copyrights, trademarks, or other intellectual property rights or proprietary rights to you. 3. No Support or Updates: ASTRI is under no obligation to support the Product or to provide you with updates or error corrections (collectively "Product Updates"). If ASTRI, at its sole discretion, provides you with Product Updates, the Product Updates shall form part of the Product, and use thereof shall be subject to the terms of this Agreement. 4. Confidentiality: You undertake to keep confidential any information of whatever nature whether in written or oral form related to the Product, ASTRI, its structure, business, trade secrets, suppliers, licensors, business method strategies, know-how, studies, products, technology and any other proprietary information, and your use of the Product, including any problems encountered by you (ASTRI Confidential Information). You shall not disclose any of the ASTRI Confidential Information to any third party or use any of the ASTRI Confidential Information for any purpose other than as authorized under this Agreement. 5. Citation Policy: No citation shall be taken from or reference made to any part of the Product in any manner for external and/or commercial use (if you are a single entity) and/or non-personal use (if you are an individual). If you are a single entity, you may however take citation from or make reference to the Product verbatim for your internal use provided that ASTRI's proprietary notices are affixed thereto and no citation or reference is used in a manner that may adversely affect or negatively portray another company and/or its products. 6. No Transfer: Any and all rights granted in this Agreement are personal to you. You shall not license, sublicense, assign, or otherwise transfer or dispose of the Product or any rights granted to you to any third party. 7. Disclaimer: The Product is provided to you on an AS IS basis with any faults or failings. ASTRI hereby disclaims any and all warranties or guarantees, whether express, implied or otherwise, including without limitation any warranty of performance, accuracy, completeness, quality, merchantability, fitness for a particular purpose and any warranty of non-infringement of any intellectual property or other rights of any third party. Further, ASTRI does not warrant or assume any responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Product. 8. Limitation of Liability: In no event shall ASTRI or its directors, officers, agents, employees, licensors or assigns be liable for any loss or damages whatsoever or howsoever, directly or indirectly, caused by or arising out of this Agreement or any use of or inability to use the Product, including, without limitation, lost profits, business interruption, or lost information, except to the extent which it is unlawful to exclude such liability. Your use of the Product is at your own risk. In the event that any exclusion contained in this Agreement shall be held to be invalid for any reason and ASTRI becomes liable for any loss or damage, such liability shall be limited to any fee paid by you to ASTRI for the Product. 9. Indemnification: You agree to indemnify, defend and hold harmless ASTRI and its directors, officers, agents, employees, licensors and assigns, as applicable, against any and all claims, damages, losses and expenses (including actual legal fees and costs), as incurred, arising from or in connection with any claim, demand or legal action by a third party, related directly or indirectly, to your use of the Product for any purpose. o Termination: Upon termination, you shall promptly return or destroy or dispose of (as ASTRI shall instruct) the Product and any and all copies thereof and related documentation or materials to ASTRI. Applicable Laws: This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region. 10. You agree to the non-exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region for all disputes and litigation arising under or relating to this Agreement. Entire Agreement: This Agreement contains the entire agreement of the parties with respect to this subject matter and 11. supersedes all prior and contemporaneous agreements in relation thereto and it may not be modified or changed in any manner unless in writing and signed by an officer of ASTRI. All prior discussions and negotiations on this subject matter are superseded by this Agreement. No failure or delay in exercising any right, power, or remedy under this Agreement shall operate as a waiver of any such right, power or remedy 12.
