CONDITIONS OF SALE

(1) (2) Wignall Brownlow LLP acts only as Agents of the Vendor. All lots, which term shall include all forms of personal property whatsoever and property fitted or affixed to land, are tendered for sale subject to these Conditions, no variation of which shall be valid unless made in writing and signed by a person duly authorised by Wignall Brownlow LLP. In these conditions Wignall Brownlow LLP shall be the company or firm or person, or his or their servant or agent, who has agreed to offer for sale any lot. By making a bid for any lot, the person making the bid warrants that he has read, makes his bid upon and agrees to be bound by these Conditions, and further warrants that he has due authority and capacity to make the bid and binds both himself and any employer or principal to honour any contract resulting therefrom. Any bid shall be deemed to be an offer by the buyer (a term used herein as including the bidder and any principal or employer of the bidder) to purchase any lot tendered upon these Conditions alone. Wignall Brownlow LLP tenders any lot for sale as agent for and on behalf of the person from or through whom instructions for sale have been received (the Seller) and not on their own behalf. The Vendors do not bind themselves or their Agents, directly or through such Agents to accept the highest or any other tender. No tender may be withdrawn Wignall Brownlow LLP shall have the sole and exclusive right to determine all matters whatsoever concerning the conduct and/or effect of any sale or purported sale and without prejudice to the generality of the foregoing shall be entitled to resolve disputes between bidders, to reject any bid, to withdraw, divide or consolidate any lot or lots without notice. Title to any item that is found in, under or near any lot that is not specifically mentioned in the catalogue description remains with the Seller. Payment in full shall be deemed not to have occurred until any negotiable instrument has been honoured in full (or cash has been paid) such payment to be made within the time specified in the catalogue. Time of payment shall be of the essence. The buyer shall not be entitled to remove any lot from its position at the time of sale until the purchase price of that and any other lot purchased has been paid in full and in default of payment as aforesaid Wignall Brownlow LLP shall have a lien upon all lots purchased by the buyer and shall be entitled to rescind the sale in respect of any lot or lots for which full payment is not made in due time, forfeit any deposit paid in respect of them and resell the same without any right of compensation in the buyer. Such action shall also be considered in the event of the purchaser being in breach of any of the Conditions of Sale contained herein. In the event of Wignall Brownlow LLP reselling the lot or lots the buyer shall be responsible for any expenses incurred in such action and for any deficiency on sale price in the resale price. Wignall Brownlow LLP shall also be entitled to charge interest upon any unpaid balance at the rate of 4 per cent above Base Rate from time to time and to charge storage arising after the time of removal at a rate decided by Wignall Brownlow LLP that reflects rent, taxes, wages and expenses until they elect to rescind the sale, if at all, which election they may make at any time after such non-payment. The quantities and descriptions of the lots are believed to be correct, however the lots are sold with all faults and errors of description. No allowance will be made nor will Wignall Brownlow LLP or the Seller be answerable for any deficiency in quantities or measurements. The purchaser is deemed to have inspected the lots prior to submitting his tender. If he tenders without inspecting the lots he does so at his own risk. The title to any lot shall remain with the Seller until the full sale price and any storage and interest charges have been paid to Wignall Brownlow LLP, but the risk of damage to or loss of the lot by whatsoever cause and in whatsoever circumstances shall be transferred to the buyer upon the sale. Lots are at the buyers risk from confirmation of the sale (written or faxed), thus buyers should insure their lots against fire burglary, theft and damage. The person whose tender is accepted shall be the purchaser and shall be informed of the acceptance of his tender in writing (by post or fax) to the address given on the Form of Tender. Any letter or facsimile sent to such address shall be deemed to have been received in due course. The purchaser shall pay the whole of the purchase monies by 5.00pm on the date prior to the clearance deadline, as stated in the catalogue or, if sooner, prior to the collection of lots. Wignall Brownlow LLP warrant that they will only sell lots which they believe to be owned by the Seller or to which the Seller will be able to pass a good title but should it transpire that the Sellers title to any lot is defective or that the Seller cannot pass a good title to the buyer, Wignall Brownlow LLP shall be under no obligation to the buyer, other than to use their best reasonable endeavours (short of litigation), to procure the transfer of a good title to the buyer. The buyer shall remove any lot for which he has paid in full plus other charges, if any, by the time for removal, as stated in the catalogue. If any lots or part lots are not cleared by the deadline stated in the catalogue the purchaser shall, without prejudice to the rights of the Seller or Wignall Brownlow LLP under these conditions, pay rent equal to

the sum of 25% per week of the value of the uncleared lots or such sum to cover any leasehold liability. The buyer shall be responsible for the removal of the lots and such removal must be carried out safely and lawfully. Flame cutting, the use of explosives or of any other potentially hazardous or inflammatory process shall not be permissible at the site without express written consent. The buyer agrees to insure against and to indemnify Wignall Brownlow LLP and the Seller against any and all claims arising in respect of injury or damage to person or property, whether real or personal, caused by or in connection with the acts or omissions of the buyer, whether caused by himself, his servants or agents or his principals or employer, whether or not the damage is due to the negligence of the buyer. Likewise the buyers indemnity is to cover the Sellers or Wignall Brownlow LLP legal costs that may arise out of such injury or damage. The buyer shall produce evidence to Wignall Brownlow LLP, upon request, that such insurance has been effected and remains in force. Purchasers undertake to comply with current legislation, including Health & Safety Regulations, when clearing goods. (13) Neither Wignall Brownlow LLP nor the Seller accepts any liability in respect of any accident to life, limb or property that may occur during the course of inspection of the lots or during the clearance of lots. All conditions and warranties as to the condition, quality, description or fitness for any purpose whatsoever of any lot sold by Wignall Brownlow LLP are hereby expressly excluded. Neither Wignall Brownlow LLP nor the Seller shall be bound by or liable for any representation of any kind whatsoever, whensoever or howsoever made. Neither Wignall Brownlow LLP or the Seller shall be liable for any loss or damage whether caused by negligence or otherwise of either or both or their servants or agents and without prejudice to the generality of the foregoing neither Wignall Brownlow LLP or the Seller shall be liable for any loss of profit, business or production or similar or other loss whether direct or indirect or consequential, however caused. In the circumstances any potential buyer should rely solely and exclusively upon his own inspection of any lot and should not treat statements made in sales particulars or before or during the auction by the Seller or Wignall Brownlow LLP either as representations or to be relied upon. All lots are sold as seen and where they lie. No vehicle is warranted or held out to be roadworthy and no lot is warranted or held out to be merchantable or sake for use or complying with statutory requirements for use, display or movement. Wignall Brownlow LLP, their servants and agents have no authority to make representations. No liability shall attach to Wignall Brownlow LLP either in contract or tort for loss injury or damage, legal or other expenses sustained by any bidder, the buyer or any other person by reason of any defect in any lot sold, whether or not such defect be latent or apparent on examination; any defect or danger of the premises where the sale is held; any alleged failure of Wignall Brownlow LLP to properly advertise the sale or to seek or obtain expert advice with regard to any lot offered for sale; any alleged failure of Wignall Brownlow LLP in the conduct of the sale or after the sale; any act or omission of any person other than Wignall Brownlow LLP. (15) The buyer hereby undertakes to ensure that any lot he purchases will be used, moved or displayed whether at the site of the sale or elsewhere only when he has ensured that such use and/or movement and/or display is lawful and safe. Should a buyer by himself, his servants or agents cause damage in any way to the sale site or damage to or loss of any lot thereat, Wignall Brownlow LLP shall be entitled to exercise a lien in respect of any and all lots purchased by the buyer until such damage or loss has been paid for in full, whether or not the lots or any of them have been paid for in full, such loss and damage to be assessed by Wignall Brownlow LLP whose decision shall be final and unchallengable. Wignall Brownlow LLPs assessed sum shall be paid by the buyer upon receipt of invoice therefor and payment shall be made forthwith, time being of the essence. If before title to any lot has passed to the buyer thereof, the buyer, being an individual dies, enters into a composition or arrangement for the benefit of his creditors or has an Order in Bankruptcy made against him or, being a corporate body has an Administrator or an Administrative Receiver appointed or goes into Liquidation or enters into a composition or arrangement for the benefit of its creditors, then the contract for sale of such lot shall be automatically and without notice rescinded unless Wignall Brownlow LLP elects otherwise within 2 working days of written notice of such an event. Upon rescission, any deposit paid by the buyer shall be forfeit and Wignall Brownlow LLP shall be entitled to exercise the rights set out in Clause 6. If a buyer is permitted to take possession of any lot before the full sale price has been paid the Seller and/or Wignall Brownlow LLP shall be entitled to enter upon any premises of the buyer or under his control in order to repossess such lot. These Conditions shall be construed in accordance with and governed by English law save in respect of sales in Scotland and Northern Ireland which shall be construed in accordance with and governed by Scottish and Irish law respectively.
