This particular working paper on Daewoo in Poland is part of a project to describe and analyse the emergence of the Daewoo Group. The project that started on the eve of the IMF bailout in Korea has resulted in a book-length manuscript. However, the drastic restructuring of the Daewoo Group which is partly a consequence of a serious liquidity crisis in the summer of 1999 will require significant rewriting and reinterpretation which has delayed the publication. In the meantime several chapters will in the meantime appear in the working paper series of The European Institute of Japanese Studies. This working paper is an outcome from a project "Technological Mapping of Asia Pacific" that the author carried out during the second half of 1997 and 1998. Other country papers cover, Japan, Korea, China, Thailand, Malaysia, Singapore, Indonesia and the Philippines. An integral part of the project is a TechMap Database with a focus on human resources, R&D system, R&D output such as patents and scientific papers, GDP composition and demographics, and IT usage and infrastructure. The database will be an important tool for ongoing analysis of technological change in the countries of Asia Pacific. A first workshop following from the project was organised in Taipei on March 11-12 in collaboration with the Chunghua Institution for Economic Research: "A New Technological Landscape in Asia Pacific". Selected papers will appear in a special issue of the International Journal of Technology Management, January 2000. This and related research has been made possible through ASTRA's generous support to the ASTRA Chair of East Asia Science and Technology and additional grants from Telefonbolaget L M Ericsson and the Swedish Foundation for the Internationalisation of Research and Higher Education (STINT).
Summary Daewoo has been listed by UNCTAD as number one among biggest international companies of emerging economies in 19982 - outside EU, USA and Japan. Daewoo developed a specific strategy of accelerated globalisation and one can observe special characteristics from operations in Poland - the biggest region of outward Daewoo activities. The specific features include: 1. Accelerating entry into new undiscovered lands of emerging economies in Eastern Europe 2. Catching significant shares in local markets and local production such as cars, electronics and home appliances 3. Establishing potential strength for entering associated markets such as EU and former Soviet countries 4. Developing friendly attitudes in local environments - to meet local needs, respect local authorities, and with a patriotic mindset 5. Developing good relations with local employees through cultural acceptance. 6. Creating alliances with local network of suppliers through quality and financial support, and creating new companies to employ staff not needed in the car plants 7. Setting up a global network of production through co-operation and partnership with company research and development centres in different countries The value of having assets in Poland lies in the exceptionally favourable performance of Polish national economy. Among Soviet block economies in Europe only Poland has achieved a level of GNP considerably higher than in 1989 (about 21%). The amount of foreign direct investment has been increasing throughout 1996-98 and Poland is now a leading country within the entire region reaching over US$ 10 billion in 1998 - a third of its total since 1989.The stability of Polish currency and decreasing rate of inflation attracts strong interest among foreign investors. This combined with substantial reforms of the Polish banking system, including consolidation and satisfactory solvency of major banks and prudent policy of the central bank provides good prospects for future development. Development of capital markets and slow but progressive privatisation, with major heavy industries and utilities still to be privatised, encourages supportive budget incomes and promises stability of budget policy. Last but not least Poland, being qualified in the first group of newcomers3 joining European Union at the beginning of the next century, promises comfortable penetration of EU markets. Furthermore political stability improves by increasing transparency of domestic democratic institutions and internationally by joining NATO structures. Poland is the country were Daewoo made the biggest commitments overseas. In global terms it might have been the luckiest part of Daewoo strategy. In managing the Daewoo Group the situation is today uncertain. The transparency of decision-making and financial flows within the group, where two major South Korean companies Daewoo Heavy Industry Ltd and Daewoo Corporation own more than 90% of Daewoo joint ventures in Poland do not allow any immediate and clear answers.

The Daewoo Group The Daewoo Group that has focused its globalisation on automobiles and electronics still has strong roots in Korea. However, large acquisitions and greenfield operations abroad are, together with original technology and management practises, transforming Daewoo from a national chaebol to a global corporation. Although, this change was underway long before the financial crisis hit Korea the IMF intervention may in fact have speeded up the globalisation movement, with unfortunate consequences. Ten years ago, in 1988, the Daewoo Group employed less than 100,000 people who were almost exclusively active in Korea. The figure underwent slight decreases year by year until Daewoo embarked on its dramatic global expansion in 1993. Four years later, by the end of 1997, total employment in the Daewoo Group had reached 250,000 the majority of which were active overseas in newly acquired plants or joint ventures. In saving time and costs in automobile manufacture Daewoo decided to acquire large existing conglomerates in Poland and Ukraine. The new joint ventures in these countries employ some 20,000 workers each to produce 300,000 cars. The new Daewoo assembly plant in Kunsan, in Korea, employs less than 3,000 to manufacture the same number of cars. Daewoo rejected the cannibalisation strategy that had been applied by many Western companies when setting up joint ventures in the former socialist planned economies. Daewoo is a conglomerate and shares a number of similarities with the other large groups (chaebol) in Korea but it distinguishes itself in a number of ways. First, it has from its very beginning had an international orientation with strong roots in its early trading activities. Second, the Daewoo group expanded to have many more people outside the country than in Korea. The domestic employment has in recent years been hovering around 90,000 while overseas employment reached almost 200,000in 1997. This figure was by the end of 1998 reduced to 152,000 mainly due to divestment in Kazakstan and Russia, and is now being drastically reduced as part of an ongoing restructuring of the Daewoo Group. Third, it was on its way to lay the foundation for becoming a truly global company when the financial crisis hit Korea. Plans were being made to introduce Daewoo's two major Polish automobile plants on the Frankfurt or the London stock exchange - to be followed by Daewoo Spain and Daewoo Italy Total foreign assets included debt increased from US$5.7 billion in 1994 to 19.8 billion by the end of 1998. Daewoo has invested in US$840 million overseas hotel and property projects and another 1,900 million were scheduled to be invested in projects that are in various stages of development. Daewoo at an early stage shifted its textile production to countries like Indonesia, Myanmar, Nicaragua and Salvador where some 22,000 people are employed. However, Daewoo's expansion has since the early and mid-1990s shifted towards industrial projects, primarily in electronics and automobile industries. Subsequently, employment in Poland, Romania, Ukraine, Uzbekistan, China, Vietnam, Mexico and Nigeria has increased from 52,000 in 1995 to 97,000 by the end of 1998.
In case of Samsung Motor plant, the model cannot be exported because of the linkup with Nissan. Furthermore, Samsung has enlisted a number of suppliers that charge very high prices because of their low volumes. Dir. B. H. Chang gives the example of key-lock parts that cost three times more than those bought by Daewoo, and component prices are generally much higher. Negotiations are still going on and a first audit to determine the value of assets will be ready in early February.
liquidity and credit crunch. Daewoo and Chairman Kim Woo-Choong had faced such challenges on earlier occasions and had survived, like a cat jumping to land on all its four paws. In those days the relations between the government and the conglomerates were quite cordial, but the situation changed after the elections in December 1997 with Kim Dae-Jung installed as President in February the following year. He was committed to terminate the extensive control by the conglomerates over the Korean economy and he was greatly helped by IMF that had to bail out Korea after the Asian financial crisis hit the country in November 1997. The financial crisis drastically increased costs of Daewoo huge debt but the Group was successfully rolling over its loan and did not experience any serious any serious cash flow problem until later in 1998. Chairman confidently acquired the failed Ssangyong Motor5 in January 1998 and continued its overseas expansion in automobile facilities in China, India, Uzbekistan, Ukraine and Poland. However, high interests in the wake of the IMF bailout combined with heavy continued investments in overseas facilities strained Daewoo financial resources. In addition the collapse of the rouble in Russia in early autumn 1998 eroded export possibilities from Daewoo car plants Uzbekistan and Ukraine and expected gains in India have not yet materialised. The so-called Big Deal in December 1998 offered a way out by shifting Daewoo Electronics in exchange for Samsung Motor. President Kim Dae-Jung wanted three things. First, he wanted to show himself powerful in reining in the chaebols, and restructure according to his wishes. Second, he wanted to solve a festering debt problem that the Financial Supervisory Commission had not solved. Finally, he wanted to retain a strong political support in the Pusan area where the Samsung Motor facilities were located - at the insistence of the former President. Daewoo Group was suffering from liquidity problems and also had to show its good will in restructuring. Thus, Chairman Kim achieved two objectives. First, the government appreciated him in his willingness to give up Daewoo Electronics. Second, the credit crunch on Daewoo Group was relieved in exchange for its restructuring efforts. However, there were a number of extremely difficult hurdles in implementing the Big Deal. First, the employees and managers of Daewoo Electronics became extremely angry and upset with the deal and made serious efforts to sabotage the deal, which over the coming months seriously affected the companies within Daewoo Electronics. More seriously was the problem on how to share the horrendous debt that Samsung Motor had accumulated. The debt that approached US$4.5 billion in mid-1999 had been given by a number of banks with limited or no collateral. The banks were not able to shoulder the losses and the government refused to inject more of taxpayer's money into the financial system. Daewoo was only willing to share a minor part of the debt in take-over deal and the Samsung companies, where foreigners owned substantial stock shares were not will to share any extra tax burden. Furthermore, Daewoo did not actually want to continue the car production at Samsung Motor - without major changes -, which meant closing down the production

and has been expanding very rapidly. Third, Daewoo has been in the process of concluding a take-over of medium-size local bank with 60-70 local branches. Daewoo is involved in two-way trade, which reached a total of slightly more than US$1,000 million in 1998. The imports, which consist primarily of machinery and cars (65%), dominate over exports which primarily consists of electric appliances (97%) and car parts and components. Poland has a substantial trade imbalance with Korea and Daewoo will increase the export of Daewoo products in order to redress the balance. Daewoo has been also heavily involved in electronics - Daewoo Electronics in 1998 produced 1.3 million TV sets in Poland, most of which were exported and variety of household appliances aside from a number of other electronic components that support its global operations. Nominally, each of these five business fields is separated and acts independently and nothing like - at least formally - a country regional centre exists to co-ordinate the Polish operations.
1. Daewoo automotive production in Poland
1.1. History The thrust of Daewoo activities Poland is in the automobile sector and will become even more so after Daewoo Electronics will be transferred to Samsung7. The heavy involvement of Daewoo in Polish car industry was hardly certain in the mid-1990s and it is interesting to look into the circumstances that led Daewoo to establish the present Daewoo- FSO and Daewoo Motor Polska. The major facilities of Daewoo Motor consist of two plants: Daewoo-FSO located in Warsaw (Zeran) and Daewoo Motor Poland located in Lublin. In addition, the two companies also have a number of subsidiaries, which produce components and parts, aside from the number of newly established joint ventures between Polish, and Korean firms where Daewoo has also taken an equity position. Daewoo had in the early period of break-up with General Motors in 1992 surveyed a large number of countries for possible future location of production facilities in emerging markets. Russia had basically been written off as the lack of legal system, uncertainty about who were your actual partners and a host of other problems, Daewoo had also surveyed Poland for possible joint venture partners and entered into preliminary negotiations with FSO, now Daewoo-FSO, in January 1994. However Daewoo Motor, or rather Chairman Kim Woo-Choong, had reached the conclusion that Poland offered no viable alternatives - and Poland had subsequently been "written off". However, an official Polish delegation under the leadership of the then President Lech Walesa visited Korea in late 1994. Included in their official itinerary was a visit to the large Daewoo Motor plant in Pupyung outside Seoul. In the meeting that followed the

In the future LD-100 vehicle is expected to become a cornerstone on the base of which DMP is going to play role of World Production Base situated in Poland and become a major player in commercial vehicle section.

3. Daewoo-FSO
The FSO Car Company was established already in 1948 and its first own model Warszawa M-20 - came of the production line in 1951. The company in 1978 started production of its own model - Polonez, designed by Mr. Giugiario in Italy. Although, the company's original strong position in the Polish market deteriorated FSO in 1994 still maintained a number three position for the Polonez model. 3.1. Daewoo enters into a joint venture with FSO FSO had been in negotiations with foreign partners to bring in advanced technology, management and capital.12 General Motors was very keen to create a bridgehead in Poland but was not willing to meet Polish demands, which required that the employment of 20,000 people had to remain at the existing level for another three years. Daewoo did not enter into serious discussion with FSO until the summer of 1995 after having successfully concluded a deal with the Polish commercial car manufacturer in Lublin, referred to above. The agreement between Daewoo and FSO was signed n November 1995, and the Daewoo-FSO Motor Corporation was established in March the following year. Major restructuring and investment followed which included substantial improvements in Polonez models that were introduced in early 1997. In the autumn of the same year the network of captive vendors was reorganised into the Daewoo FSO Components Group. Daewoo at the same launched its three new cars - Lanos, Nubira and Leganza to be produced at Daewoo-FSO.

The Components Group consisted in early 1999 of 7 subsidiaries, 18 joint venture companies and a large number of independent makers of parts and companies, which includes some 900 companies. 3.1.1. 3.2. From Planned to Capitalist Management - a great challenge13 The investment in Daewoo-FSO is financed with 40 per cent from Korean banks, another 40 per cent from European banks and the remainder from Daewoo profits. Total investment will reach US$1.5 billion by the year 2000. Mr Suk14 expects that Daewoo-FSO will be the number one car manufacturer by the same year and will by then have made the first entry into EU. Poland has become increasingly important market, which is evident from the following comment by General Motors Poland.15 The Daewoo-FSO joint venture has 16 directors of which 5 are Koreans. The total number of Korean staff was 62 in early 1997, which include 25 staff, which come on business trips and stay for 2-3 months. The remaining 32 Koreas are divided into two groups. One half are working as co-ordinators for example in metal stamping and body welding while the other half are line operators. The deputy directors for finance and accounting are both from Korea. Suk would like to reduce the number of Korean but considers that their presence in early 1997 was needed. Mr Suk experienced a number of problems when he became managing director of Daewoo-FSO. He saw the great cultural differences between the Polish culture of the socialist planned economy period and that of modern society, which was being grafted onto Poland. Few would understand what co-operation meant or understood how a company facing global competition had do be managed. Many clearly understood what profits or losses meant in a company but few realised that it was also their concern and not only the concern of top management. Mr Suk says that during the first six months he would often despair but after two years he feels confident about the future of Daewoo-FSO. The early revitalisation of the company required extraordinary efforts. Chairman Kim Woo-Choong spent more than six months at the plant in 1996 which was important in sorting out the many smaller and bigger issues and in emphasising the importance of

this plant to the Daewoo Group. Mr Kim also took an early initiative to sponsor the soccer team LEGIA that is competing with Gornik for the top position in Polish Soccer League. He has also promised that Daewoo will sponsor promising Polish scientists who may have the chance of obtaining a Nobel Prize. Why was the company successful in establishing the Daewoo-FSO joint venture? There is a number of contributing factors. Volkswagen appeared not be in a hurry to expand its global manufacturing presence. Hyundai in Korea was quite satisfied with its large home market, which was not the case for Daewoo that was very hungry for new markets and identified the prospects of early entry by acquiring exiting production plants. General Motors already had an existing joint venture with FSO but was not willing to commit itself to a major involvement at the time when Daewoo negotiated with the Polish Government. When looking at various options for privatisation the Polish government favoured a partnership with Daewoo that promised substantial investments and long term commitment to develop car manufacture in Korea. The agreement provides for tax exemption and other benefits for a period of 7 years. Mr Suk suggests that Daewoo will eventually to develop a global car concept and the existing plants already provide the underpinning of such an approach. The Daewoo plant in Romania is now buying wire harness from FSO suppliers and Daewoo-FSO buys engines from Romania. Expanding this kind network will foster specialisation and economies of scale as the market grows. Suk also expects that Daewoo plants will specialise in models and there will an increasing exchange of models between national markets. Another important aspect is the wage differential that exists between countries and Suk mentions that Romania has good engineers who are good in English and available at low costs. There were 12 FSO makers of components when the Daewoo-FSO joint venture was established. They were able to provide certain components for an annual production of 100,000 Polonez units and can expand their production to component demand for 500,000 vehicles. Suk stresses that priorities for Polish component makers are 1. Quality, 2. Quality, and 3. Price. To this end Daewoo Motor has encouraged joint ventures with its suppliers in Korea and assisted in training. However, originally the FSO supplier networks did not include any makers of functional electronics, which is becoming an increasingly large share of the total cost of car. Today the car stereo comes from the Daewoo Electronics plant in Lodz, 200km north of Warsaw, while central locks and electric windows are obtained from own supply network. Mr. Suk suggests that Daewoo-FSO should have its own technical centre which would focus on testing of design and style to meet demand in the Polish and neighbouring countries and upgrade engineering for the manufacture of the Nubira model at the Daewoo-FSO plant. Engineers have already been recruited for training for a technical centre, which may be established by the year 2000. Mr. Suk stresses that the success in the future will, aside from efficient production, rest on the quality of dealer network and customer relationships.

The potential market in Poland is large, with 500,000 vehicles sold in 1998 and with expected sales of 800,000 units in 2000. Furthermore, some 50 per cent all registered cars - 8 million units - is more than 10 years old. FSO has in the past produced 2.5 million units and there are 400,000 Polonez cars on the roads in Poland. By entering into the joint venture with FSO Daewoo Motor was able to gain access to production facilities and a functioning sales network - with a very moderate initial investment. However, total investment are estimated to reach US$2.3 billion by the end of 2001, which includes not only investment in Daewoo-FSO but also in DMP Lublin, the Andoria diesel plant as well as investment in the Components Group. The more important strategic position for Daewoo entering into the Polish joint ventures was to establish a strategic base for entering the European Union, which will automatically be accomplished when Poland becomes a member shortly after 2000. Thus, production in Poland will benefit from low-cost production in a stable and expanding economy, geographical advantage with good means of transportation and already well-established headquarters in Europe that can handle parts delivery, service and logistics18. The expected strategic role of Daewoo Motor in Poland becomes obvious when looking at the plans for production and export over the coming years Production plans at Daewoo-FSO Production

The Department of Industrial Policy in the Ministry of Economy argues that it would be desirable for Daewoo to keep quiet about its expansion plans and expected export prospects for countries within the European Union. This boasting of using Poland as a springboard for expansion into EU has triggered a number of angry responses from EU and its carmakers. They have requested Poland to reduce the benefits that Daewoo companies enjoy in country. The Ministry says that every company coming to Poland would enjoy the same benefits - and would prefer that Daewoo would quietly go about its expansion, without boasting about it.
The Wyszkow engine plant has been completely renovated and presently employs some 500 people. Engines from Daewoo cars are delivered from the following locations: Polonez (Zeran) Wyszkow engine plant (belongs to Daewoo-FSO) Lanos (Zeran) Romania Matiz, since August 1998 L-4 from Wyszkow Nubira, since September 1998 imported from Korea (Bupyung?) Calculations have indicated that the introduction of module system will reduce costs for those components in the region of some 30 per cent plus indirect savings. An added advantage lies in the quick feedback make engineering changes. 3.7. Modernisation and costs reduction in the Daewoo-FSO plant at Zeran in Warsaw Zeran is becoming a very complex plant, which will produce 7 models in near future, than existing plants within the Daewoo Motor. The Kunsan plant only assembles one single model - Nubira. The Bupyung plant produces three models - Lanos, Leganza and Nexia, the last one to be replaced possibly by the manufacture of Matiz. The Zeran press shop is very impressive with its ten lines. In the early discussions after Daewoo became a major partner the Polish managers suggested that the press shop would require major new investment. The Daewoo engineers argued differently and suggested that marginal improvement and management changes would solve any problem. They started by given a thorough bath to all machines and clean the floors that in many places had accumulated a dirt layer of close to one centimetre. Eventually the Polish side accepted the Daewoo suggestions and the press shop today has a production capacity of 300,000 units - with only marginal investments. The capacity can be increased to 500,000 units if certain parts are outsourced. A major feature of the new management is that changes on a press line can be done in 15 minutes, a task that in the old days would have taken eight hours. As well as Kanban system to control inventory of press panel, the changeover time is of the same order as in the large plastic injection machines at Koram where change of moulds is down to five minutes plus another 15 minutes for heating. The Daewoo changes made great savings as the total investment for ten press lines would have been of the order of 200 billion won, or US$175 million. Daewoo is now facing an employment-restructuring problem, although substantial changes have already been made. The number of persons employed in (direct) production in January was 6,700 and this number had by early January 1999 dropped to 4,200. The drastic reduction had basically been achieved through spin-offs. However, the age structure still posses a problem, as the average age is more than 40 years for workers in indirect operations, although it is 30 years in direct operations. There is a need to reduce the number of office workers with 1,000 and indirect workers with some 500 persons. On the assumption that the Zeran plant would reach a production capacity of 500,000 units the present number of persons in production 4,200 - would be quite reasonable. Zeran plant has two assembly lines of which the newest one can produce 20 jobs per hour, which translates to an annual production of 120,000 units with annual hours of 6,000. An older line can produce 15 jobs per hour. However, plans underway would double the capacity of the two lines and total production capacity would be 420,000 with 6,000 hours per year. A completely new paint shop is now in operation and will have a capacity of 60 jobs per hour against the old one with a capacity of 25 jobs per hour.
There was a very serious quality problem when Daewoo entered as a partner. The IQS number for Polonez was hovering around 800, but it has come down to 70 in September 1998. The IQS number for Lanos was 40 by the end of 1998, and the target is to reach 30. The director for Production, who is now 41, came here in the autumn of 1996. On arrival he had no idea and no understanding of the challenges that would face him over the next years. He could immediately see all the problems and identify how they should technically be solved. He saw the Zeran plant uni-dimensional mode and started to implement changes by himself. Eventually, he realised that he would have to tackle problems in a different way and gain the support and understanding of his Polish colleagues. Things have changed and he is often more comfortable discussing with his Polish colleagues than with the Korean engineers.
4. The R&D Centre at Daewoo-FSO
The FSO was established as the Polish car manufacturer in July 1948 and produced on November 6, 1951, the first M20 car that developed and licensed from a Russian model. Fir the next more than 25 years FSO was engaged in original model development - the CYRENA series and Warszawa 223. Both series were also developed as variants such as wagon, pick-up and ambulance cars. The final original development was done when Warszawa 223 was given a face-lift in 1967 after which cars licensed from Fiat. The first was the Fiat 125 that was developed and licenseproduced in 1968. The still existing Polonez series was developed from Fiat 125 basis in 1976 and received a re-styling in 1989. The Polonez was finally developed into the Polonez Cargo Series in 1991 after which model developed stalled until the joint venture with Daewoo in 1996 (check). The new relation with Daewoo resulted in a revitalised Polonez Plus that was ready in March 1997. Before that Tico and Espero were produced SKD basis from 1996. Lanos was introduced on a CKD basis and Nubira and Leganza on a SKD basis - all in 1997. CKD of Nubira and Matiz were introduced in 1999. FSO was basically dependent on licenses for its engine development, and licensed production of a 2.1 litre engine (S21 OHV) started in 1968. Similarly license production started for two sizes of engines used in the Fiat 125p - from 1968 and onwards - which were changed in 1977 to increase performance and improve quality for use in the Polonez. Fuel injection was introduced in 1989 and another development took place jointly with Delphi in 1994 to meet EURO 1 standard and single point injection engine was developed together with Bosch in 1996 to meet EURO 1 standard. A final engine modification was done together with Delphi in 1997 to introduce multi-point fuel injection. A radically new engine development started in 1998 when Daewoo FSO jointly with Daewoo Public Motor started to develop the T4 engine (1.0 and 1.2 litre models). This engine will in the future be manufactured at Daewoo FSO and become the workhouse for the small car production that will dominate in Daewoo's car plants in Poland. The Polish Technical Centre was formally established on November by incorporating and expanding the various R&D functions that existed at the Zeran complex. A regional technical centre was established in September 1998 at Nysa in Southern Poland where commercial vehicle engineering will be done. Three more
perspectives of investing in Poland. The economic conditions were not very appealing. However Pol-Mot decided to import TICO car introducing Daewoo brand mark into the Polish car market. At the end of 1994 (November) Lech Walesa The President of Republic of Poland accompanied, among others, by The Minister of Industry visited Korea officially and had talks with the President of Daewoo. They promised to improve the conditions of motor industry in Poland to attract Daewoo Corporation and other potential partners to invest in Poland substantial amounts of capital23. The crucial point of these informal talks was the three years tax holiday if Daewoo would started its car manufacturing in Poland.24 Then the events were progressing very quickly. After sequence of visits on different levels (the first Korean visit in January 1995 already) Daewoo focused on two car manufacturers in Poland. Truck factory -FSC- in Lublin and passenger car factory FSO in Warszawa. The letter of intent about Lublin FSL was signed in March 1995. The government was not a side in this agreement. In June 22nd 1995 the memorandum of understanding was signed between FSO Warszawa and Daewoo. In August 16th 1995 the preliminary agreement was signed between Pol-Mot holding, Daewoo and Ministry of Industry and Trade (thus the government was a side) about Daewoo investment in Warszawa FSO. The mutual operating teams were set up working days and nights sometimes. The negotiations were very tough. And the participants remember when, quite often, about 2 oclock am, they were raising from behind the table up, very tired and went for short sleep nearly convinced that things are impossible to solve. However the next morning they were eager to start fighting again. Lublin was historically the first. Situated at not very developed east-southern part of Poland suffers from lowering life conditions and growing unemployment. The reputation of foreign investors, however not very broadly known in details, threatened the team of workers and executives. They knew from the other joint ventures experiences that foreigners usually extracted the useful part of the plant for their own purposes, kept only small part of the staff, dismissing the rest and attempted to cancel development units.25 From the other hand, the alternative for FSC was the slow declining and bankruptcy of the factory and as a consequence depriving the staff members of their working place. After political environment in Poland freshly changed the situation in state owned enterprises was very tense. There were strong worker councils that had a right to participate in decision making process. There were strong trade unions, Solidarnosc in particular, self-convinced of their power after influenced successfully significant shift in former Soviet block. But there was also, and still is, uncertain economic base, very likely to become worse.
worrying not only about their certainty the future of the company that they are so proud of, is equally important. The question comes whether the generosity of social treaties as well as some courageous strategic ventures contributed to Daewoo's contemporary troubles.
Epilogue - August 1999
Daewoo-FSO managers in early autumn convey the feeling of successful implementation of the Daewoo Motor strategy in Poland. Daewoo-FSO has felt little or no impact from the Daewoo turmoil in Korea. It is doing well in the Polish car market and its financial situation is healthy and it actually financially supports operations in Korea. In this sense Daewoo-FSO is practically independent but will of course be affected by any major future decisions on Daewoo Motor that are made in Seoul. However, Daewoo-FSO is today seen and perceived as a Polish company, and Daewoo Motor Polska in Lublin is also doing well. A chief production engineer enthusiastically explains that a major production expansion was carried out at the Zeran complex after the annual workshop shutdown August 2-13 - when the manufacture of Lanos was transferred to 3-shift (8,600 hours) with 18 jobs per hour. This was done without any increase in employment, which in fact meant a considerable increase in labor efficiency.29 The same manager proudly announces that another major change will be implemented in mid-September when the present pilot production line of Matiz will be transformed to full production. There are three important reasons for the success of Matiz. 1. The car has a mature design, which lies between an ultramodern design and conventional more superficial re-design. It can be compared with the design success of Ford Focus or Mercedes A-class 2. The impact of lowering the costs has been considerable due to large savings in parts and in manufacture 3. Daewoo was very successful in grasping important aspects of small-car manufacture by its collaboration with Suzuki when it started to make the predecessor of Matiz - the Tico models. Daewoo learned car production from General Motors and design/cost concepts from Suzuki. Major changes are also underway in the production layout at the Zeran Plant. Almost all warehouses have been emptied and they now provide possibilities for moving the assembly of modules close to the assembly lines of the Lanos car. The assembly of Lanos is based on six modules - cockpit (instrument panel) - doors - wheels - seats - front suspension - rear axle

The first three modules are already assembled at Zeran while the assembly of the last three modules has been carried in a location that is at one hour's driving distance from Zeran. The assembly operations of the remaining modules are now being moved which will facilitate a higher degree of flexibility on the Lanos assembly line. Matiz and Nubira are presently assembled on a CKD basis and will in the future be supplied with all six modules, similar to the situation for Lanos. Lanos and Matiz are manufactured in different ways. Lanos has many inspectors who control quality while there are many fewer for the production of Matiz. Multifunctional teams do maintenance and material handling30. A New Matiz, with the model number M150, is under design and involves major changes. However, the existing Matiz is presently selling extremely well in all its major markets and a decision on introducing M150 will only be taken at some future date. Total annual production of Matiz models is presently around 300,000. The Matiz production line at Zeran will operate on a three-shift basis with 12 jobs per hour. This corresponds to an annual production of around 100,000 which matches the Polish market demand that is presently hovering around 8 - 9,000 units per month. When removing the key bottleneck that exists in the body shop the Matiz production line could be increased by another 10 jobs per hour - to meet demand outside Poland. In the future West Europe would be served with Matiz produced in Poland and Romania. In the latter country, in Craiova, Matiz is produced on CKD basis and that plant is also used as sourcing for Matiz at Zeran in Poland. There are close commercial relations between DMP in Lublin and the Zeran plant in Warsaw. DMP provides wheels, springs, stabilizer bars and head lining for Lanos models. In the future panels for LD100 to be manufactured in Lublin will come from the Zeran press shops. The rapid decline of Polonez car came as a surprise while the rapid acceptance of Matiz models has also come as a surprise. The F100, jointly developed with the Worthing Technical center, will be introduced as scheduled - towards the end of the year. It will partly replace the Polonez segment by offering vehicles of a van type. During the past few years Daewoo-FSO has escaped the old low level of Polish car production standard and has reached a mid-level standard. However, the challenge now is to reach fully up to world standards. This must be done within the next three years and a key manager says that: "we have to destroy the belief that we have been so successful in the past. I am confident but I have to change not only myself, but I must also be able to change the Polish people who are working at Zeran. We must become more simple and lean and increase value-added in our cars. Our production process must be shorter and the supply chain speeded up so that our products reach dealers and markets more quickly. This will require improved logistics for components and parts coming from Korea and Romania." The production plant at Zeran presently employs 2,400 workers in direct production with another 900 in indirect production, which includes various types of maintenance. Indirect employment will be reduced to 600 under the ongoing restructuring program
