| We bought ours in Jun 08 from Stax Trade Centre in Manchester for £500 inc VAT. I bought this Sharp LC-42X20E last year and am extremely happy with its looks, and more importantly its performance. | |

Here, the reporter attempts to minimize both the importance and frequency of wastewater recycling and reuse programs in Pennsylvania. Later in the piece, he actually writes that most of the wastewater generated by the states Marcellus producers is sent to treatment plants, which presumably means greater than 50 percent. In the second installment of the anti-Marcellus series posted on the Times website on March 1, Urbina doublesdown on this assertion, writing: In Pennsylvania, for example, natural-gas companies recycled less than half of the wastewater they produced during the 18 months that ended in December, according to state records. But later in that piece, the reporter admits the amount reported recycled in the past six months is roughly 65 percent of the total produced, up from roughly 20 percent during the 12 months before that. Most major Marcellus didnt begin their recycling programs in earnest until late 2009 or early 2010 so why would Urbina focus on recycling data from 18 months back? Data confirm clear trend toward greater water recycling in PA: According to production reports due Feb. 15 and posted last week Marcellus Shale operators directly reused 6 million barrels of the 10.6 million barrels of waste

I find it amazing when this reporter is writing a narrative of lax regulation in Pennsylvania for essentially the period that I served as Secretary of the Department charged with regulating the industry that my perspective is not relevant. (John Hangers personal blog, 2/28/11) Quigley now says Urbina represents his view in misleading way: Secretary Quigley informs me that the representation by this reporter of that interview and his views as expressed to the reporter in this article is highly selective and misleading. (Hanger blog, 2/27/11) NYT: There are business pressures on companies to cut corners, John Hanger, who stepped down as secretary of the Pennsylvania Department of Environmental Protection in January, has said. Its cheaper to dump wastewater than to treat it. 21 years ago and cited extensively by the reporter this weekend wasnt actually confidential at all. The API study mentioned in the NYT article was not confidential, API told Hot Air in an email. In fact, it was turned into API Publication 4532 and published in 1991. (Hot Air blog, 2/28/11) Its non-confidential status aside, the 1990 study analyzed the over-board discharge of wastes from offshore platforms discharges that included not only dissolved solids, but actual suspended ones as well. In Pennsylvania, however, wastewater treatment facilities remove suspended solids from the mix reducing the amount, volume and concentration of potential contaminants discharged. NYT: Gas producers are generally left to police themselves when it comes to spills. In Pennsylvania, regulators do not perform unannounced inspections to check for signs of spills. Flashback: DEP Inspector visits drilling site unannounced: A DEP inspector discovered the spill while inspecting the well pad. The inspector found that the bottom valve on a 21,000-gallon fracking fluid tank was open and discharging fluid off the well pad. No one else was present at the pad, which has one producing Marcellus well. (DEP press release, 11/22/10) In 2010 alone, DEP oversight staff performed nearly 5,000 inspections at Marcellus Shale wellsites, a more than 100 percent increase over the previous year. Legislation on the move
he General Assembly last year amended the states Clean and Green law to ensure that farm and forest land remains eligible for preferential property tax treatment when oil and gas development occurs. This year a further fine tuning of the Pennsylvania Farmland and Forest Land Assessment Act is moving through the legislature. Other legislation moving early in the session include bills giving the Public Utility Commission authority to adopt and enforce federal safety standards for non-utility natural gas pipelines, as well as a measure amending the Coal and Gas Resource Coordination Act. HB 144, the latest Clean and Green amendment, specifies that roll-back taxes may be imposed the year after a wells first annual production report is filed with the Department of Environmental Protection and this information is provided to the county assessor. Last years version keyed imposition of rollback taxes to restoration of the well site rather than the start of production from a well. The legislation passed the House unanimously on March 7 and now must makes its way through the Senate. Meanwhile, HB 344 received the approval of the House Consumer Affairs Committee on March 1 before being sent on to the Appropriations Committee. The legislation gives the PUC the power to enforce federal pipeline safety rules for non-utility lines, but prohibits the agency from imposing regulations that are more stringent that the federal version. The bill also would create a registry of all natural gas and hazardous liquids pipeline operators. The companion version in the Senate, SB 325, has been
approved by the Consumer Protection and Professional Licensure Committee and the Appropriations Committee. The bills primary sponsor, Senator Lisa Baker (R-Luzerne), has indicated she may seek to have PUC authority extended all the way to the wellhead, which is something that both PIOGA and the PUC oppose. SB 265, sponsored by Senator Mary Jo White (R-Venango), amends the Coal and Gas Resource Coordination Act to create adequate and safe spacing between gas well clusters and workable coal seams. No permit for a gas well covered by the act would be issued unless the well cluster is located at least 2,000 feet from the nearest well cluster, unless the permit applicant and the owner of the workable coal seam consent in writing. Under the bill, absent an agreement, either the coal operator or the well applicant may activate a dispute resolution process to resolve the spacing issue. The bill also requires DEP to commission an independent study, funded by the industry, to update the Joint Coal and Gas Committee Gas Well Pillar Study. The study would assess appropriate pillar size around an active/inactive well or well cluster to protect the workable coal seam and ensure the safety of coal miners, as well as any additional criteria or standards that should be considered by the department. The proposal passed the Senate without opposition on March 2 and has been referred to the House Environmental Resources and Energy Committee. Other legislation. Last month we reported on the flurry of early legislation that would affect our industry. That list was out of date before it was even published. Since then, bills have been introduced that would: impose a three-year moratorium on drilling on state lands; increase bonding amounts for all types of wells;

however, argue that the new stricter limits on total dissolved solids certainly address the radioactivity issue. We think its safe, he said of natural gas wastewater. On the issue of enforcement, Krancer noted that DEP staff levels have decreased but oil and gas inspectors Michael Krancer have increased by 78 employees. Fees generated by permits will allow for more employees in the future and improvements in technology will improve productivity, he added. Krancer also pointed out that, contrary to the Times assertions, all inspections are unannounced. Krancer, who served 10 years as a judge on the Environmental Hearing Board, told Senators he will approach his role as secretary as he did his job as a judge. We apply the law, thats our job, he said, adding that it is also my job to listen to all sides of an issue and consider all of the facts and have an open mind. He pledged to run an open and transparent agency, to maintain consistency in policy across the six regional offices and to work with other agencies on broader energy policy issues.

Turning a potentially frosty event warm and fuzzy

I had no sooner hung up from talking with her than Danielle called back. It was one of many conversations we would have in the run-up to the show. She wanted to know about WVIA, their history, their theater, the host, previous shows on Marcellus Shale and the stations leanings, if any. Danielle was scouting the territory. A few words about public television are in order here. Commercial stations will cover the events of the gas industry as part of their news broadcasts. But public stations are where the forums are, where the action is and where the risks hide. Public stations can do what commercial outlets, with both eyes ever fixed on ratings, will notthey can open their doors and allow for longer discussion of the issues. WVIA-TV is no exception. Located near the heart of the Marcellus region of the northeast corner of the state, the station broadcast its first live Town Hall Meeting on Marcellus Shale way back in February 2008. There had been five previous public forums and the most recent, last December, was a road show titled Live from Boomtown Towanda. The anti-drilling crowd overflowed the hall and dominated the night. People in favor of drilling were outgunned. This dynamic can repeat itself in any market with public TV. It can level the playing field for the little guy battling the well-heeled oil producers. None of this makes public TV Robin Hood to viewers. Weve never had as much reaction to anything weve done as were getting to our Town Halls on Marcellus Shale, said WVIA President Bill Kelly. Half the comments say were too friendly to the protesters, half say were too cozy with the drillers. In that sense, I guess were doing something right. Everyone is mad at us about something. Back to our intrepid Danielle, who decided to concentrate her public hour on jobs created by Marcellus Shale. Ever the good PR flack, I volunteered to be a panelist, but Danielle had a better

The venue was public television, the subject was Marcellus Shale and past forays into the topic had produced as much heat on the gas industry as they had shined light on an important topic. But for the first time, the gas industry didnt spend wholesale blocks of air time defending itself. For the first time, the audience was on the side of the gas industry. For the first time, Marcellus Shale seemed touchy feely. I watched it all unfold from, literally, a front row seat. What was different this time? In a word: plenty. PIOGA Director of Public Outreach Danielle Boston called me a few weeks ago, seeking information. She had convinced the association to help underwrite an hour on WVIA-TV for a live Town Hall Meeting. I live in Northeastern Pennsylvania, I work for a pipeline company called Linde Corporation and I had been a frequent guest on previous WVIA shows unrelated to the gas industry. Danielle wanted to know if there was anything to worry about. Lots, I said. When VIA has a Town Hall Meeting, they essentially turn on the lights, let the audience into the studio, sit back and watch the fireworks. I wished her luck. What follows is an object lesson in message control. Because, despite its many benefits, the huge Marcellus gas find in Pennsylvania is not universally well-received. Okay, you knew that. Well, this is the story of how Danielle Boston and PIOGA used media judo to flip the momentum and ride a positive message through the always dangerous territory of a public forum live on public television.

idea. Rather than fill the stage with self-serving suits like me, she found six panelists who are newly working in the field. She invited two water tank truck drivers recently hired by Select Energy, a husband and wife team working for Halliburton, the regional environmental coordinator from Cudd Energy Services and a watchman/laborer from Linde Corporation. She wanted real people telling real stories about how the gas boom was changing their lives. She also said she wasnt going to coach them on what to say because she wanted it fresh and real. Danielle, I whined, How are you going to get the big picture out? Who is going to talk specifically about the numbers, the stats, the jobs created in Pennsylvania? Thats what the audience is for, she said. Anyone can come to a WVIA Town Hall meeting. Its how so many previous forums had been dominated by protestersthey had mobilized. This time it was Danielles turn. She reached out through her many contacts in the industry. People came from all over the state and by show time, the audience was predominantly people who were not only sympathetic to the gas industry, but actually worked in the field. The panel told their stories and every one of them spoke of the better life that steady, lasting work in the gas fields would provide for them and their families. Ted Demchuk of Select Energy spoke of how tanker driving work would give him the chance to send his children to college. Candice Hercenberg of Select Energy said she was hired the morning she passed her commercial drivers license test. Eric Kranson of Linde talked about stability. But Steven Ward from Cudd may have said it best: Before, I had a job. Now I have a career. As for those big picture facts about jobs provided, Danielles audience was happy to help. We contributed statistics about job creation, gave company names and e-mail addresses for job seekers and generally trumpeted the good economic news of 80,000 new jobs this year in Pennsylvania, directly related to Norman Ray Sales Manager 203-305-0901 nray01@snet.net

sation to the landowner.is royalty payments resulting from extraction. (Jacobs, 772 A.2d at 455). If the lease provides for the payment of delay rentals or gas storage fees, Pennsylvania will no longer imply a duty to develop the leasehold. As noted above, the implied covenant of reasonable development, even in its post-Jacobs form, applies only to proven formations. In other words, the obligation to develop the leasehold arises only after gas is discovered in paying quantities. What about unproven formations or strata? Is there a duty to explore all horizons and strata located within a leasehold? A minority of courts and commentators have suggested that there exists an implied duty to explore such unproven formations. The covenant, in essence, requires the operator to drill exploratory wells in the unproven formations or horizons located within the leasehold footprint. Colorado and Arkansas have both recognized this covenant as a means of discouraging the practice of holding a large leasehold with a minimally producing well. Production on only a small portion of the leased land does not justify allowing the lessee to hold the entire leasehold indefinitely, thus depriving the lessor of receiving royalties from another arrangement. (Bryd v. Bradham, 655 S.W.2d 366, 367 (Ark. 1983).) Colorado has further observed that the operator may not hold the land merely for speculation in the hope that non-viable mineral holdings will become economic at some unknown time in the future. (North York Land Associates v. Bryon Oil Industries, 695 P.2d 1188, 1191 (Colo. Ct. App. 1985).) Thus, in jurisdictions that recognize this covenant, an operator cannot simply drill a well and then cease all further exploratory operations. (See Ezzel v. Oil Associates, 22 S.W.2d 1015 (Ark. 1930) (lessees obligation to explore is ongoing, even after paying quantities are discovered).See also Davis v. Ross Production, 910 S.W.2d 209, 212 (Ark. 1995) (an implied covenant exists on the part of the lessee to explore the property with reasonable diligence).) The operator is under a duty to investigate, test and explore other areas of the leasehold or risk cancellation of the lease. (See Carter v. Arkansas Louisiana Gas Co., 36 So. 2d 26 (La. 1948) (it is an implied condition that the lessee will test every part of the leased premises).) In establishing a breach of this covenant, the landowner does not have to demonstrate that the unproven formations or horizons would be profitable. [T]he implied covenant of further exploration does not need such proof, but rather requires the lessor to show unreasonability by the lessee in not exploring further. (See Gillette v. Pepper Tank Co., 694 P.2d 369, 372 (Colo. Ct.App. 1984).) The inquiry does not focus on whether gas in paying quantities would be found. Instead the focus is on whether a reasonably prudent operator would have tested the unproven formations. The loss or damage to the landowner from the lack of exploratory testing is difficult to quantify. As such, the usual remedy has been cancellation of the unexplored portions of the lease. (See Gillette v. Pepper Tank Co., supra; North York Land Associates v. Bryon Oil Industries, supra.) Several prominent oil and gas jurisdictions, such as Texas and Oklahoma, have expressly rejected the covenant. Texas has held that no implied covenant of further
exploration exists independent of the implied covenant of reasonable development. (Sun Exploration & Production Company v. Jackson, 783 S.W.2d 202 (Texas 1989).) In Jackson, the Supreme Court of Texas explained that there is no distinction between an exploratory well and a developmental well: the operator need not drill unless there is an expectation of profit. The Jackson court further held that, in a failure to explore case, the landowner must still prove a reasonable expectation of profit in the unproven formations. (See Jackson, 783 S.W.2d at 204.) This standard requires the landowner to prove that a reasonably prudent operator would have a reasonable expectation of profit in drilling on a unproven formation. (Id. at 204. See also Clifton v.

Koontz, 325 S.W.2d 684 (Texas 1959).) A landowner in Texas has a steep burden and must prove that gas exists in profitable quantities. (See Jackson, 783 S.W.2d at 204. See also Mitchell v. Amerada Hess Corp., 638 P.2d 441, 449 (Okl 1982) (following Texas and holding there is no implied covenant to further explore after paying production is obtained).) Colorado, Arkansas, Louisiana and possibly Kansas have rejected this approach and do not consider profitability when analyzing a breach of the implied covenant of further exploration. It is unclear whether Pennsylvania recognizes this covenant. In Aye v. Philadelphia Co., 44 A. 555 (Pa. 1899), a lease provided that a test well would be drilled within six months and, if oil was discovered, a production well would be drilled. Aye, 44 A. at 556. A test well was drilled but it was dry and no oil was discovered. The operator never conducted any further exploration. The Pennsylvania Supreme Court held that there was an implied duty to drill other test wells:.there is an implied obligation on the lessee to proceed with the exploration and development of the land with reasonable diligence. (Aye , 44 A. at 556.) Because the operator had failed to conduct any further exploratory activities, the Aye court found that the operator had abandoned the lease. (See also, Calhoon v. Neely, 50 A. 967, 968 (Pa. 1902) (failure to explore premises for over nine years after drilling dry hole constituted surrender of the lease).) While the Aye court did not expressly announce or state that an implied covenant of further exploration exists in Pennsylvania, the court did recognize an implied duty to drill test wells. More recently, in Jacobs v. CNG Transmission Corp., 332 F. Supp. 2d 759 (W.D. Pa. 2004), the Western District of
Pennsylvania concluded that the operator had surrendered its rights to the deeper gas formations by failing to conduct any exploratory activities for nearly forty years: [H]ere the defendant failed to conduct any exploration or development of the leasehold during the primary term and in the subsequent thirty-eight years that followed. (Jacobs, 332 F. Supp. 2d at 796.) The Jacobs court further than noted that the operators protracted inactivity had deprived the landowner of the right to have exploration of the property undertaken. (Id. at 796.) In order to remedy this breach, the court cancelled the operators rights in any substrata below the hundred foot sands where the operator had been engaged in gas storage. (Id.) The unexplored, deeper gas formations were therefore severed from the original lease so as to give another operator the opportunity to explore and develop those deeper horizons. In support of this remedy, the Jacobs court cited the Aye opinion and observed that [P]ennsylvania law has consistently recognized that an unexplained failure to develop an oil and gas lease. gives rise to a fair presumption of abandonment. (Id. at 796.) Although the Jacobs court did not specifically reference the implied covenant by name, it arguably applied the policy behind the covenant and prevented the operator from holding unexplored horizons for an indefinite period of time. (But see Penneco Pipeline Co. v. Dominion Transmission Inc., 2007 WL 1847391 (W.D. Pa. 2007) (rejecting landowners claim that deeper strata should be severed due to inactivity and non-production).) As such, Jacobs could be a subtle sign that Pennsylvania may soon be joining the minority of jurisdictions that recognize this implied covenant. resented by counsel, consideration should be given to whether communications will be made directly to the property owner or through his counsel. The most prudent course is to refrain from discussions directly with the property owner absent an initial discussion with his counsel in which counsel authorizes such direct communications. Consideration also needs to be given to whether the companys non-legal representatives should have discussions with the property owners counsel or whether any such communications should be handled by the companys counsel. Response policies should also include procedures for handling acute excursion events, accidents or malfunctions which could affect nearby properties. These policies should cover identification of the effect on property, identification and notification of the response team, required regulatory notifications, and prioritized response activities. The policy should also include procedures for ongoing activity, including continued communications with regulatory agencies, the community, and the media; root cause analysis; and remedial measures. Employees should be trained in advance on such policies, procedures and assignments. All of the response activities should be coordinated with the oversight of legal counsel. The existence of a planned and coordinated approach to an operational incident should help to avoid premature, inaccurate and/or inconsistent statements regarding the event. Preliminary speculative explanations in advance of a complete investigation should be avoided. Likewise, statements or communications with too much spin should be avoided. Internal and external communications should be controlled. Too many examples exist of one careless statement by a company representative driving subsequent litigation against the company. It is much easier to pre-
vent detrimental statements than to have to explain them later in defense of litigation. Document management Should litigation be engaged, good document management policies and employee training about them will prevent plaintiffs attorneys from being able to gain litigation leverage as a result of the companys poor document management. Shortly after litigation is filed, counsel for the property owner will likely make requests for any and all potentially relevant documents, including electronic documents. Although one purpose of the document requests is to learn more about the matter at issue, the attorney also hopes to uncover evidence of inappropriate destruction of documents and/or uncover imprudent and prejudicial statements in documents. To avoid providing the plaintiffs counsel with leverage as a result of imprudent or prejudicial statements in documents, a company should evaluate its practices for documenting policy, strategy, regulatory, and budgeting discussions and decisions, as such documents will be sought by a plaintiffs attorney in hopes of finding an improvident statement which casts the companys decisions in a poor light. Documentation of the following should be avoided: brainstorming sessions; detailed meeting minutes; expenditures considered and rejected; opinions about regulatory employees and regulatory policy; and black and white and unrealistic statements of policy. Document management policies should also provide guidelines for the use of e-mail communications. Employees should be

trained with regard to these policies. The casual and conversational use of e-mail can result in seemingly innocent statements (often made in jest) coming back to haunt a company in litigation. Employees must be reminded that every e-mail they generate may be read by someone outside of the company, and particularly by a plaintiffs attorney, should litigation be filed. The companys document management policy should also provide guidance to employees regarding the proper use of privilege legends on appropriate documents which are subject to an attorney/client privilege which will later protect them from production to a plaintiffs attorney in litigation. It is not only important to use such legends on appropriate documents, but also to avoid overly broad use of such legends which in the hands of skilled counsel can create the impression that a company is trying to cover up a communication. In order to avoid providing the plaintiffs counsel with leverage as a result of failure to preserve documents, a company should create and implement an appropriate document retention policy. Such a policy should incorporate applicable statutory and regulatory requirements for the preservation of documents, as well as recognize the practical need for retention of certain documents for business and litigation defense purposes. Employees must be trained with regard to the document retention policy and their compliance with the policy should be monitored. After a policy is in place, it is important for employees to consistently follow it. When litigation is expected, the company is required to preserve any and all documents that could relate in any way to the possible claim. The obligation to preserve documents potentially relevant to litigation under certain circumstances exists even before litigation is filed. If the company has notice of potential litigation, it must preserve potentially relevant documents. When the obligation to preserve documents exists, even documents that would otherwise be destroyed under the document retention policy must be maintained until the litigation is concluded. The doc-

he Clearfield County Economic Development Corporation has been working hard to pave the way, welcoming the energy industry into Clearfield County. The CCEDC recently departmentalized and created two departments, the Energy Department and the Development Department. The Energy Department will focus on the requirements of all things energy: oil and gas, including Marcellus Shale; biofuels; electricity; coal; geothermal; solar; and wind. In addition, the CCEDC hired Paul McCloskey as the new Vice President of Energy Development. He will be the liaison for energy companies in the county for anything from finding office space to getting the correct permits. The CCEDC is also in the process of constructing a 20,000 square-foot multi-tenant facility specifically designed for the oil and gas industry. The building will have 22-foot ceilings, overhead drive-through bay doors, capacity to hold 5-ton overhead cranes, as well as ample staging areas around the building. We really are trying to be proactive in welcoming the gas industry into the county, especially since we are centrally located within the Marcellus play and have terrific access to transportation throughout the county, McCloskey said.
