PETERSON, AS CHAPTER 7 TRUSTEE FOR RWB SERVICES, LLC AND AS CHAPTER 7 TRUSTEE FOR LANCELOT INVESTORS FUND, LTD. ______________________________________________________________________________ TO: The entities specified in Local Rule 9013-3 Petters Group Worldwide, LLC (PGW or Debtor), through its undersigned attorneys, herby files this verified reply in support of its Motion for Authorization to Transfer Polaroid Internet Domain Name Registrations to Polaroid Corporation, Free and Clear of Liens and Outside the Ordinary Course of Business under 11 U.S.C. 363. All capitalized terms not defined herein are as defined in the Motion. Jointly Administered under Case No. 08-45257 Court File No. 08-45257

Doc# 2913743\1

BACKGROUND On January 28, 2009, Polaroid Corporation and its jointly-administered affiliate-debtors filed a verified motion seeking authority to sell substantially all of their assets to PHC Acquisitions, LLC (Purchaser), subject to higher and better offers that might be submitted in an auction process. At the conclusion of the auction, the prevailing bidder was Lithograph Legends, LLC (Patriarch). The assets to be acquired by Patriarch include, among other things, the 358 internet domain names set forth in Revised Exhibit A, attached and incorporated by reference into this Reply. Since the filing of the Motion, PGW has discovered three additional domain names that were accidentally omitted from the original Exhibit A attached to the verified Motion. All of the domain names on Revised Schedule A have all been properly registered with registries that have been approved by Internet Corporation for Assigned Names and Numbers (ICANN), the governing body of domain name registrars. However, the first 130 domain names listed on Revised Exhibit A (the Polaroid Domain Names) nominally are registered under the name PGW, not Polaroid. Since at least as early as 1951, Polaroid Corporation has owned registered trademarks in the United States and worldwide for the mark POLAROID and related marks in connection with its various products and services. Based upon a long history of continuous use and wide
recognition by the consuming public, this family of POLAROID marks has long been held famous under federal trademark law. The core domain name registration owned by Polaroid Corporation is <polaroid.com>, which is used as the companys main web site and is listed as No. 335 on Exhibit A. In nearly every Polaroid Domain Name registered to PGW, the dominant element of the domain name is the word POLAROID, which is identical to the dominant element in the family of trademarks to which Polaroid asserts valid and superior trademark
rights. As such, any use or sale by PGW of these domain names would be an infringement of Polaroids trademark, and prohibited by law. As such, these domain names have little or no value to PGW. Subsequent to PGWs acquisition of Polaroid in 2005, it was planned that PGW might be utilized as the holding company of all intellectual property (IP). As part of that plan, PGW decided to manage all domain names related to PGW and all affiliates with one domain name registrar, Corporation Services Company (CSC or Registrar). While the plan to have PGW as the holding company of all IP was never implemented, the transfer of domain name registrations to one Registrar was begun. Having the domain names registered with of one Registrar also provided a streamlined way to manage the domain names for all PGW entities. The process to transfer or register the Polaroid domain names in the name of PGW and with CSC was to be a gradual process. For some Polaroid domain names, they were placed in the name of PGW at the time of (1) the transfer from the previous registrar to CSC or a transfer from a prior infringing owner; (2) the next renewal; or (3) Polaroid obtaining new domain names. For some Polaroid domain names, the transfer to, or registration with, CSC was cost prohibitive. For others, putting the registration in the name of PGW was not possible because either specific country laws required the owner of the country-specific trademark registration be the registrant of the domain name or the country required a local presence. While the domain names were managed under one Registrar, separate accounts were set up so that fees and costs were paid by the proper business unit. Therefore, all fees and costs associated with the registration and maintenance of the Polaroid domain name portfolio have been paid by Polaroid and not by PGW, regardless of which entity appears as the registered owner of a Polaroid related domain name. The only exception to this practice could be a

possible errant and isolated invoice related to a maintenance cost inadvertently misdirected and addressed to PGW. As a result, no consideration was given by PGW for these domain names and Polaroid asserts that it never intended that PGW use or possess any equitable title or rights in the Polaroid Domain Names. ARGUMENT In determining whether to authorize the use, sale or lease of property of the estate under this section, debtors are given great deference and need only show that the transaction reflects an exercise of reasonable business judgment. See, e.g., In re Food Barn Stores, Inc., 107 F.3d 558, 567 n.16 (8th Cir. 1997); In re Crystalin LLC, 293 B.R. 455, 463-64 (8th Cir. B.A.P. 2003); In re Lionel Corp., 722 F.2d 1063(2d Cir. 1983); In re Schipper, 933 F.2d 513, 515 (7th Cir. 1991); Accord Collier on Bankruptcy 363.02 (15th rev. ed. 2008). The mere fact that someone may disagree with the transaction, that alternatives exist, or some specified terms relating to the transaction creates a disagreement are not determinative of whether or not the transaction should be approved. Rather, the standard to be applied in approving such a transfer as is proposed here is whether PGW exercised reasonable business judgment under the circumstances. By its motion, PGW merely seeks to preserve all parties rights regarding which entity owns superior title to the Polaroid domain names. These domain names do not have value to PGW other than hostage value. Additionally, as Polaroids sole shareholder, it is in PGWs interest to facilitate the ultimate sale of its largest holding that will, after a competitive auction process, provide the only potential recovery for its ownership interest in Polaroid. After the Polaroid auction, Polaroid will need to serve and file a motion to allocate proceeds received from the sale. It will be in response to that motion that PGW and/or the Committee will be able to assert and resolve a claim to a portion of the sale proceeds on the basis of these transferred domain names. PGW will pursue maximum value for the Polaroid Domain
Names, but believes the best value can be achieved through the proceeds allocation process, rather than attempting to scuttle the Polaroid sale to extract hostage value for these Polaroid Domain Names. In addition to the stalking horse bid, Polaroid has received several bids for its assets in conjunction with the auction and sale of its assets, each of which requires that the Polaroid Domain Names nominally registered to PGW be transferred to Polaroid as part of the sale and included in its acquisition. This includes the bid in which Ronald R. Peterson, as Chapter 7 Trustee, has submitted on behalf of RWB Services, LLC in conjunction with Acorn Capital Group, LLC and Ritchie Capital Management, LLC. Clearly, any purchaser of the Polaroid brand assets would be expected to impose a similar, if not identical, requirement. PGW has an incentive to maximize the value of Polaroid in an attempt to maximize the potential recovery by creditors, and as Polaroids sole shareholder, PGW. Accordingly, PGW respectfully requests this Court overrule all objections, and permit PGW to transfer Polaroids right title and interest in and to the Polaroid Domain Names, free and clear of all liens, claims, interests and encumbrances while reserving the rights of PGW to a fair valuation and payment for these domain names if and when appropriate.
